Terms of Service — ChangTech

1. Acceptance of terms

By engaging ChangTech Ltd ("ChangTech", "we", "us", "our") for services, you agree to be bound by these terms. If you do not agree to these terms, do not engage our services.

2. Services description

ChangTech provides fractional vCISO, security engineering, and compliance advisory services. Specific scope, deliverables, and timelines are defined in individual statements of work or engagement letters.

3. Engagement terms

Minimum engagement: Our standard minimum engagement is £1,500 per month (Starter tier) or £8,000 per month (Growth tier), subject to the agreed statement of work.

Duration: Month-to-month engagements run continuously until cancelled with 30 days written notice. Fixed-term engagements are governed by their specific terms.

Payment: Invoices are issued monthly in advance. Payment is due within 14 days of invoice date. Late payments accrue interest at 2% per month above the Bank of England base rate.

4. Client responsibilities

You agree to:

Provide timely access to information, systems, and personnel necessary for us to deliver services
Respond to requests for feedback and approvals within agreed timeframes
Ensure appropriate internal authorisation for the engagement
Not rely on our work as a substitute for your own risk management decisions

5. Confidentiality

Both parties agree to keep confidential all information marked or treated as confidential that is disclosed during the engagement. This obligation survives for 3 years after termination of the engagement. This does not apply to information that is publicly available, independently developed, or lawfully obtained from third parties.

6. Intellectual property

Work product created by ChangTech specifically for you ("Deliverables") becomes your property upon full payment. ChangTech retains ownership of pre-existing materials, methodologies, and tools. We grant you a perpetual, non-exclusive licence to use such materials within the Deliverables.

7. Liability

Our total liability under any engagement shall not exceed the fees paid by you in the 12 months preceding the claim. We shall not be liable for indirect, consequential, or punitive damages. This does not affect liability for fraud, death, or personal injury.

You indemnify us against claims from third parties arising from your use of Deliverables in a manner not authorised by these terms.

8. Termination

Either party may terminate with 30 days written notice. Upon termination:

Outstanding fees for services delivered become immediately due
We will provide reasonable transition assistance for up to 30 days (at additional cost)
Confidentiality obligations continue

9. Governing law

These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
